The Rules of the Link.

These Terms and Conditions ("Terms") govern your access to and use of the Missing Link platform ("Platform"), operated by Hunt & Hawk Pty Ltd ("Company", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree, you must not use the Platform.

1. The Platform

Missing Link is a software-as-a-service (SaaS) platform designed to support prospecting, outreach, and revenue workflow management.

We may utilise third-party infrastructure, licensed technology, integrations, and service providers to deliver the Platform. We remain responsible for providing the services under these Terms.

We reserve the right to modify, update, or improve the Platform at any time.

2. Eligibility and Authority

You represent and warrant that:

• You are at least 18 years old

• You have authority to enter into these Terms on behalf of your organisation

• Your use of the Platform complies with all applicable laws and regulations

3. Subscription and Plans

3.1 Subscription Model

Access to the Platform is provided on a paid subscription basis.

3.2 Minimum Term Commitment

All subscriptions are subject to a minimum commitment of four (4) months from the subscription start date.

Although subscriptions are billed monthly, you agree to remain subscribed and continue payment for the full four-month minimum period.

Cancellation during the minimum term does not waive outstanding payment obligations.

3.3 Renewal

Following the initial four-month term, subscriptions renew automatically on a monthly basis unless cancelled in accordance with Section 3.6.

3.4 Subscription Plans

Missing Link offers multiple subscription tiers. Plan features and inclusions are described at the time of purchase and may be updated from time to time.

Current plans may include:

(a) DIY (Do It Yourself)

Access to the Missing Link platform and its self-service features. Customers are responsible for campaign creation, messaging, and management.

(b) DIFM (Do It For Me)

Includes platform access plus campaign setup and copywriting services provided by Hunt & Hawk Pty Ltd.

(c) DIFM+ (Do It For Me Plus)

Includes platform access, campaign setup, professional copywriting services, and additional monthly content or campaign support services as agreed at the time of subscription.

Specific deliverables, timelines, and inclusions may vary depending on the plan selected.

3.5 Managed Service Inclusions

For DIFM and DIFM+ plans:

• The Company will provide campaign and content services as outlined in the selected subscription

• You are responsible for providing timely feedback, approvals, and required business information

• Delays caused by failure to provide information or approvals may affect delivery timelines

• We do not guarantee specific performance outcomes, including response rates, conversions, meetings booked, or revenue generated

3.6 Cancellation

You may cancel your subscription after completion of the four (4) month minimum term by providing no less than thirty (30) days’ written notice prior to your intended cancellation date.

Notice must be provided by:

• Emailing hi@huntandhawk.com, or

• Submitting a cancellation request through your account settings (if available)

Your subscription will remain active, and fees will continue to be charged, during the 30-day notice period.

If the 30-day notice period extends beyond a billing date, the subscription will renew for an additional billing cycle.

No refunds will be provided for any prepaid or unused portion of the subscription.

4. Fees and Monthly Billing

Subscription fees are billed in advance on a monthly basis unless otherwise agreed in writing.

By subscribing, you acknowledge and agree that:

• Fees are charged monthly in advance

• Your subscription is subject to the four-month minimum commitment

• Monthly billing does not reduce or remove the minimum term obligation

• All fees remain payable regardless of usage during the minimum term

Failure to make payment may result in suspension or termination of access.

5. No Refund Policy

All payments made to Hunt & Hawk Pty Ltd for access to Missing Link are strictly non-refundable, including but not limited to:

• Subscription fees

• Setup fees

• Add-on services

• Partial billing periods

We do not provide refunds for change of mind, unused time, early termination, or suspension due to breach.

6. Customer Responsibilities and Acceptable Use

You are solely responsible for:

• The accuracy and legality of all data uploaded to the Platform

• Ensuring you have lawful authority to process prospect and contact data

• Compliance with applicable privacy, data protection, and anti-spam laws

• Compliance with the terms of third-party platforms (including LinkedIn)

You must not:

• Upload data you do not have the right to use

• Use the Platform for unlawful spam or unsolicited communications

• Attempt to reverse engineer, copy, or misuse the Platform

• Circumvent usage limits or security controls

• Interfere with Platform performance or security

We reserve the right to suspend accounts that create legal, reputational, or security risks.

7. Customer Data

You retain ownership of all data you upload ("Customer Data").

By using the Platform, you grant us a limited licence to process Customer Data solely for the purpose of providing the services.

We do not:

• Sell Customer Data

• Use Customer Data for our own marketing

• Claim ownership of uploaded prospect information

You acknowledge that you are the data controller of Customer Data and are responsible for ensuring lawful processing.

8. Third-Party Services and Integrations

The Platform may integrate with third-party services.

We are not responsible for:

• Interruptions caused by third-party platforms

• Changes to external platform policies

• Data accuracy from third-party sources

Use of third-party services is subject to their respective terms and policies.

9. Intellectual Property

All intellectual property rights in the Platform remain the exclusive property of Hunt & Hawk Pty Ltd or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform during your subscription term.

You may not copy, modify, distribute, reverse engineer, or create derivative works of the Platform.

10. Suspension and Termination

We may suspend or terminate access if:

• You breach these Terms

• Payment is overdue

• Your activities create legal or security risk

• Required by law

Termination does not waive outstanding payment obligations.

11. Warranties Disclaimer

To the maximum extent permitted by law:

• The Platform is provided "as is" and "as available"

• We do not guarantee uninterrupted or error-free operation

• We do not guarantee specific business or revenue outcomes

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

• Indirect, incidental, special, or consequential damages

• Loss of profits, revenue, data, or goodwill

• Loss arising from third-party platforms

Our total aggregate liability is limited to the fees paid by you in the three (3) months preceding the claim.

13. Indemnity

You agree to indemnify and hold harmless Hunt & Hawk Pty Ltd from any claims, damages, or liabilities arising from:

• Your use of the Platform

• Your Customer Data

• Breach of applicable laws

• Violation of third-party platform terms

14. Confidentiality

Each party agrees to maintain the confidentiality of non-public information disclosed in connection with the Platform.

This obligation survives termination.

15. Force Majeure

We are not liable for failure to perform obligations due to events beyond our reasonable control, including natural disasters, internet outages, government actions, or third-party service failures.

16. Assignment

You may not assign or transfer your rights under these Terms without prior written consent.

We may assign our rights or obligations in connection with a merger, acquisition, or restructuring.

17. Changes to Terms

We may update these Terms periodically. Continued use of the Platform constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of Queensland, Australia.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.
